1. Agreement to Terms

By accessing and using CMPly ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

CMPly is operated by FOP PLAKHOTNIUK NAZAR MYKOLAIOVYCH (Individual Entrepreneur PLAKHOTNIUK NAZAR MYKOLAIOVYCH) ("Company", "we", "us", or "our"), a sole proprietorship registered in Ukraine, Tax ID (IPN): 3034318857. The Service provides cookie consent management solutions to help websites comply with GDPR, CCPA, and other privacy regulations.

2. Description of Service

CMPly provides a Software-as-a-Service (SaaS) platform that enables website owners to:

• Display customizable cookie consent banners
• Manage user consent preferences
• Scan websites for cookies and tracking scripts
• Block scripts until user consent is obtained
• Generate compliance documentation
• Store and manage consent records

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept all responsibility for activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans and Payment

4.1 Subscription Plans

CMPly offers various subscription plans with different features and usage limits. Plan details, pricing, and limitations are displayed on our website at the time of purchase.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. By providing payment information, you authorize us to charge the applicable fees to your payment method. You are responsible for all charges incurred under your account.

4.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will be charged the then-current rate for your plan.

4.4 Payment Processing

Payments are processed through Stripe, a third-party payment processor. By providing payment information, you agree to Stripe's terms and conditions. We do not store your full credit card details.

4.5 Price Changes

We reserve the right to modify subscription prices. Price changes will be communicated at least 30 days in advance and will take effect at your next renewal date.

5. Free Trial

We may offer a free trial period. During the trial, you have access to certain features. At the end of the trial period, you will be charged the subscription fee unless you cancel before the trial ends. We reserve the right to modify or discontinue free trials at any time.

6. Cancellation and Refunds

You may cancel your subscription at any time through your account dashboard or by contacting support. For detailed information about refunds, please see our Refund Policy.

Upon cancellation, you will retain access to the Service until the end of your current billing period. No refunds will be provided for partial billing periods unless required by law.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Distribute malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use the Service for fraudulent purposes
• Resell or redistribute the Service without authorization
• Reverse engineer or attempt to extract source code
• Remove or alter any copyright or proprietary notices

8. Intellectual Property

The Service, including all software, text, graphics, logos, and other content, is owned by CMPly and protected by copyright, trademark, and other intellectual property laws. Your use of the Service does not grant you any ownership rights to our intellectual property.

You retain all rights to content you submit to the Service (e.g., website URLs, consent records). By using the Service, you grant us a license to use this content solely to provide the Service to you.

9. Data and Privacy

We are committed to protecting your privacy. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

You are responsible for ensuring your use of the Service complies with applicable data protection laws (GDPR, CCPA, etc.). We provide tools to help you comply, but ultimate compliance responsibility rests with you.

10. Service Availability

We strive to maintain 99.9% uptime but cannot guarantee uninterrupted access to the Service. The Service may be unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Emergency maintenance or security updates
• Events beyond our control (network failures, natural disasters, etc.)

We are not liable for any losses resulting from Service unavailability.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CMPLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRIOR TO THE CLAIM.

Some jurisdictions do not allow the limitation of liability for incidental or consequential damages, so these limitations may not apply to you.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, secure, or available at any particular time. While we provide tools to help with compliance, we do not guarantee that your use of the Service will result in full compliance with applicable laws.

13. Indemnification

You agree to indemnify, defend, and hold harmless CMPly, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of applicable laws or regulations

14. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Extended periods of inactivity
• At our discretion for any other reason

Upon termination, your right to use the Service will immediately cease. We may delete your account data after a reasonable retention period as described in our Privacy Policy.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of law provisions.

For users located in the European Union, you also benefit from any mandatory provisions of consumer protection law in your country of residence.

Any disputes arising from these Terms or your use of the Service shall be resolved through good faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the courts of Ukraine, except where EU consumer protection laws provide otherwise.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

19. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and CMPly regarding the Service and supersede all prior agreements and understandings.
